    Responsibilities

    This internship is an unpaid internship and requires proof of current enrollment in an internship program for relevant course credit.

     

    As our new Legal Intern, you will:

    • Act as support for the corporate legal team
    • Work directly with Associate General Counsel, Associate Counsel and Contract Administrators
    • Communicate with and succinctly present information to EXOS corporate leadership
    • Complete tasks in conjunction with Human Resources and Information Technology staff
    • Draft and review various commercial contracts, including:
      • Requests for Proposals
      • Master Services Agreements
      • Statements of Work
      • Partnership Agreements
      • Performance Training Services Agreements
      • Educational Affiliation Agreements for student internships
      • Corporate and Community Membership Agreements
      • Non-disclosure Agreements
      • Independent Contractor and Subcontractor Agreements
      • Software Services Agreements
      • Design and Development Agreements
      • Litigation Hold letters
      • Settlement Agreements; and
      • Amendments to any and all such agreements
    • Engage in outside counsel management for specialized areas of law, including:
      • Data security and privacy
      • Intellectual property
      • International law; and
      • Healthcare law and HIPPA compliance
    • Determine risk potential and conflicts of law for expansion of company services into new territories
    • Prepare and deliver presentations of existing and new lines of business and products for EXOS corporate leadership
    • Spearhead legal research, discuss case strategy, and calculate settlement offers in complex civil cases concerning wage and hour matters, employee training, compliance, discipline and termination, and employment law-related claims
    • Collaborate with in-house counsel in an ongoing corporate restructuring process of thirty subsidiaries, both domestic and foreign, by updating entity formation documents, including name amendments and perfection certificates
    • Assist in the creation, organization and perfection of EXOS legal form documents

    Qualifications

    Required Qualifications:

    • One (1) year of law school completed at an ABA-accredited institution
    • Must be receiving course credit to complete an internship
    • Strong academic record
    • Efficient research and writing skills

    Preferred Qualifications:

    • Related business experience
    • Interest in transactional drafting, corporate law or in-house counsel work
    • Previous legal employment or internship experience
